This is the agreement between you and S. Thomas Construction for use of this website, and between S. Thomas Construction and Core 137 for the software platform behind it. Terms for construction services are governed by the signed contract for each project.

The agreement

These terms govern (a) your use of this website, which is operated by S. Thomas Construction, and (b) the relationship between S. Thomas Construction and Core 137, the company that creates, owns and provides the software platform behind it. By using this site or engaging our services, you agree to be bound by them.

If you are a visitor, only the website sections apply to you. The software license sections apply between S. Thomas Construction and Core 137.

Acceptance of these terms

By accessing this website, or by logging in to or otherwise using the software, you acknowledge that you have read, understood and agree to be bound by these terms and by our Privacy Policy. Your use of the site or the software is your acceptance of both.

If you do not agree with these terms or the Privacy Policy, you must not use the site or the software. Please sign out immediately and do not log back in. You remain welcome to do business with S. Thomas Construction through the usual channels — by email, by phone and through regular in-person meetings — without using the platform.

Accounts & access

Any login credentials we issue are provisioned by S. Thomas Construction and are for authorized personnel and clients only. You are responsible for keeping your credentials secure and for all activity under your account.

Project information

You retain ownership of plans, specifications and information you share with us. You grant us a limited license to use it solely to prepare estimates and deliver our services.

Estimates & contracts

Estimates and proposals are provided for planning purposes and are subject to a signed contract. Scope, pricing and schedule are governed by the executed agreement for each project, which controls over these website terms in the event of any conflict.

Ownership & software

This website and its public content, brand, text, images and design are owned by S. Thomas Construction. The software platform that powers this site and our internal tools is created, owned and licensed by Core 137, and is provided to S. Thomas Construction as a service. Everything behind the login, outside of these public pages — including its estimating and project-management software — is the exclusive property of Core 137, including the frontend, the backend, and all underlying logic, source code, architecture, designs, interfaces and documentation.

The current software has been customized and configured for S. Thomas Construction's business operations. That customization does not transfer any ownership: all logic, backend and frontend, including customized portions, remain the sole and exclusive property of Core 137. S. Thomas Construction receives a non-exclusive, non-transferable, non-sublicensable right to use the software, and acquires no ownership interest in it, no matter how long the service runs or how it is configured. Any claim by S. Thomas Construction, its owners, successors or assigns to ownership of the software is expressly waived.

Software license & seats

The software may not be modified, copied, reverse-engineered, decompiled, resold, sublicensed, transferred or redistributed, in whole or in part, by anyone, including S. Thomas Construction. Attempting to edit the code or to sell or provide the software to any third party is a material breach of this agreement.

The license covers a maximum of 10 seats, provisioned exclusively for S. Thomas Construction's own business operations. Additional seats and current rates are available at core137.com, or by contacting dev@core137.com.

If S. Thomas Construction is sold, merged or undergoes any change of ownership or control, or if changes to the licensed software are required, Core 137 must be contacted at dev@core137.com for license adjustments and any associated costs. The license does not automatically transfer to a buyer or successor.

License term, pricing & renewal

The 10 seats are licensed to S. Thomas Construction at its current rate through January 1, 2028. On and after that date, continued use of the software is subject to Core 137's standard enterprise per-user rates, which are published at core137.com.

Fees for the software are payable to Core 137 in advance for each subscription term. If a license lapses or expires, or if a scheduled payment fails, S. Thomas Construction must resubscribe or refresh its payment method at core137.com to keep the service active.

Core 137 may suspend or restrict access to the software behind the login while a subscription is expired or a payment remains uncleared, and will restore access once the subscription is renewed and payment is current. This is in addition to any suspension for breach described below.

Service suspension & cancellation

Core 137 provides the platform to S. Thomas Construction as a service. Core 137 may suspend or cancel the service at any time (a) when requested by S. Thomas Construction, or (b) immediately and without notice if S. Thomas Construction violates this agreement, including any attempt to edit, copy or reverse-engineer the code or to sell or provide the software to others.

Core 137 is not liable for any loss, cost or business interruption resulting from a suspension or cancellation permitted by this section.

Data ownership, responsibility & AI

Data created or processed in the Core 137 platform is the property of S. Thomas Construction. It is shared with Core 137 solely for AI training purposes, and is never sold or shared with anyone else.

S. Thomas Construction is solely responsible for its own data management, including the accuracy, legality, backup and retention of the data it enters, and for its own clients, projects and services. Core 137 acts only as a software provider and is not a party to, and has no responsibility for, S. Thomas Construction's business relationships or construction work.

To the fullest extent permitted by law, Core 137 is not liable for lost, stolen, deleted, corrupted or unavailable data, or for unauthorized access to data, however caused, and S. Thomas Construction waives any such claim against Core 137, except to the extent caused by Core 137's willful misconduct.

Platform access & user responsibility

General contractors, subcontractors and other authorized users who access the platform through a login are solely responsible for the actions they take in it — including any changes, entries, edits, uploads, approvals or deletions — and for the management, accuracy, legality, backup and security of the data they enter or modify.

Neither S. Thomas Construction nor Core 137 is responsible or liable for changes made by, or for the data management of, any logged-in user, or for any loss, error, dispute or damage arising from those actions. To the fullest extent permitted by law, each user waives and will not seek to recover any money, damages or compensation from S. Thomas Construction or Core 137 in connection with them. Each user is responsible for verifying the information they rely on and for using the platform in accordance with these terms.

AI-generated content

The public pages of this website may contain AI-generated images and content used for marketing and illustrative purposes. Such material may not depict actual projects, personnel, equipment or job sites, and is not a representation, warranty or promise of any specific result. No visitor may rely on it as a factual record, and neither S. Thomas Construction nor Core 137 accepts liability arising from that illustrative use.

Use of the public pages & assumption of risk

The public pages of this website are provided for general information only. You are solely responsible for how you use and interpret them, and you access and rely on them entirely at your own risk. Nothing on the public pages is professional, engineering, financial or legal advice, and it must not be relied upon as such.

To the fullest extent permitted by law, you release S. Thomas Construction and Core 137 from, and waive and will not seek to recover, any money, damages or compensation for any loss or harm arising from your own use or interpretation of, or reliance on, the public pages. Responsibility for that use and interpretation rests with you.

Acceptable use

You may not use this site to break the law, to harm anyone or to send spam, and you may not attempt to gain unauthorized access to, or to probe, scrape, disrupt or overload, our systems or the Core 137 platform.

Disclaimer of warranties

This website and the Core 137 software are provided “as is” and “as available,” without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement, and without any warranty that the site or software will be uninterrupted, error-free or secure. Content on the public pages is for general information only and is not professional, engineering or legal advice.

Limitation of liability

To the fullest extent permitted by law, neither S. Thomas Construction nor Core 137 is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data or business interruption, arising out of or related to the use of this website or the software, even if advised of the possibility of such damages.

For website visitors, the total aggregate liability of S. Thomas Construction arising from use of the public pages is limited to one hundred US dollars ($100). For S. Thomas Construction, the total aggregate liability of Core 137 is limited to the fees paid for the service in the twelve (12) months before the claim arose. The terms of any construction work are governed by the signed contract for that project, which controls in the event of any conflict with these website terms.

Indemnification

S. Thomas Construction will defend, indemnify and hold harmless Core 137 from any claim, loss or expense (including reasonable attorneys' fees) arising from S. Thomas Construction's data, its clients, its projects and services, its use or misuse of the software, or its breach of this agreement, including any attempt to claim ownership of, modify or resell the software.

Visitors who misuse this website will defend, indemnify and hold harmless S. Thomas Construction from any claim arising from that misuse or from their violation of these terms.

Termination of engagements

Either party may terminate a construction engagement in accordance with the signed contract for the project. We will return your project documents on request. Sections on ownership, data responsibility, warranties, liability, indemnification and governing law survive any termination.

Governing law & miscellaneous

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Texas, and each party consents to their jurisdiction and venue.

If any provision of these terms is found unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. These terms, together with the signed contract for a project and the license arrangement between S. Thomas Construction and Core 137, are the entire agreement on their subject matter.

Changes

We may update these terms from time to time. Continued use of this site after a change means you accept the updated terms.
